The Government Council approved, on Thursday, draft decree number 2.25.1080 amending and supplementing decree number 2.09.481 issued on 4 Muharram 1431 (December 21, 2009) implementing law number 17.95 concerning public limited companies, presented by the Minister of Industry and Trade.
The Minister Delegate in charge of Relations with Parliament, the official spokesperson for the government, Mustapha Baitas, explained during a press conference following the weekly meeting of the Council that the draft decree aims to amend and supplement the provisions of paragraph 2 of Article 4 of the aforementioned decree number 2.09.481, by including the conditions for determining the issue price related to capital increases, in addition to the issue price and its amount, within the minimum information that must be included in the special report of the auditor. He added that the effect of this amendment extends to paragraph 3 of Article 4 of the same decree, which stipulates that the auditor also expresses his opinion on the soundness and credibility of the foundations adopted in calculating each of the issue price, the difference, or the conditions for determining this price, adopted by the board of directors or the collective board of directors.
